1. Introduction and Parties

These Terms and Conditions (“Terms”) govern your access to and use of the Dock0 platform, including the website at https://app.dock0.dev, the Dock0 CLI tool, the MCP proxy service, and all related APIs and services (collectively, the “Service”).

By creating an account or using the Service, you (“you”, “User”) agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

  • “MCP” means the Model Context Protocol, an open protocol for connecting AI assistants to external tools and data sources.
  • “Deployment” means an MCP server endpoint registered on the Dock0 platform, whether hosted by Dock0 or connected via external origin URL.
  • “Creator” or “Author” means a User who publishes a Deployment on the platform.
  • “Consumer” means a User who accesses a Creator’s Deployment via an API key.
  • “Wallet” means the pre-funded USD balance associated with a User account, used to pay for metered MCP calls.
  • “API Key” means a unique authentication token issued to access a Deployment.
  • “Platform Fee” means the percentage of each paid call retained by Cynsta (currently 5%).
  • “Stripe Connect” means the Stripe payment infrastructure used for Creator payouts.

3. Eligibility

3.1. You must be at least 18 years old and have full legal capacity to enter into binding contracts to use the Service.

3.2. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3.3. You must not use the Service if you are located in a jurisdiction where such use would be prohibited by applicable law or sanctions.

4. Account Registration

4.1. You must provide accurate, current, and complete information during registration and keep your account information up to date.

4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3. You must notify us immediately at security@dock0.dev if you become aware of any unauthorized use of your account.

4.4. We reserve the right to suspend or terminate accounts that contain false or misleading information.

5. Description of Service

5.1. Platform Overview

Dock0 is a platform that enables developers to deploy, manage, and monetize MCP servers. The Service provides:

  • MCP server hosting (deploy from GitHub) or external origin proxying (connect existing URL)
  • API key authentication and management
  • Per-call rate limiting
  • Wallet-based per-call billing
  • Creator earnings tracking and payouts via Stripe Connect
  • CLI tooling and dashboard management

5.2. Two Deployment Modes

  • Hosted Mode: Dock0 builds and hosts your MCP server on managed infrastructure. Source code is deployed from a connected GitHub repository.
  • External Origin Mode (Connect): You provide an existing MCP server URL. Dock0 wraps it with authentication, rate limiting, and billing. No hosting is involved — Dock0 acts as a proxy.

5.3. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided on an “as is” and “as available” basis. Scheduled maintenance will be communicated in advance where practicable.

6. Subscription Plans and Pricing

Plan features, pricing, and limits may change. We will provide at least 30 days’ notice before any price increase affecting your current subscription.

Additional abuse-prevention, spend-control, and service-protection limits may apply. Free-plan monthly usage limits are hard caps; paid-plan usage controls may be enforced through alerts, review, or other risk controls.

6.2. Billing

Subscriptions are billed monthly via Stripe. All prices are in US dollars (USD) and exclude applicable taxes unless stated otherwise.

6.3. Automatic Renewal

Subscriptions renew automatically at the end of each billing period. You may cancel at any time through the dashboard or Stripe portal. Cancellation takes effect at the end of the current billing period.

6.4. Taxes

You are responsible for all applicable taxes. For EU consumers, VAT will be applied at the rate of your country of residence in accordance with EU VAT rules. For business customers with a valid EU VAT identification number, the reverse charge mechanism applies.

7. Wallet and Per-Call Billing

7.1. Wallet Top-Up

Consumers pre-fund a Wallet balance via Stripe Checkout. The minimum top-up is $25 USD. The maximum single top-up is $5,000 USD.

7.2. Per-Call Deduction

When a Consumer makes an MCP call to a priced Deployment, the call price set by the Creator is deducted from the Consumer’s Wallet balance. If the Wallet balance is insufficient, the call is rejected with HTTP 402 (Payment Required).

7.3. No Per-Call Payment Processing Fees

Dock0 uses the pre-funded Wallet model to avoid per-call payment processing fees. Stripe fees apply only to the initial Wallet top-up transaction. At launch, Dock0 credits the full purchased Wallet amount and absorbs payment-processor fees associated with Wallet funding. These processor fees may still be tracked and displayed separately in billing reporting.

7.4. Wallet Balances

Wallet balances are non-transferable between accounts. Wallet balances do not earn interest. Wallet balances are denominated in USD.

7.5. Refunds

Unused Wallet balances may be refunded upon request, subject to the following:

  • Refund requests must be submitted to billing@dock0.dev
  • Refunds are processed within 30 business days
  • Refunds are issued to the original payment method
  • We reserve the right to deduct any amounts owed to us or to Creators
  • Funds already spent on MCP calls are non-refundable

8. Creator Earnings and Payouts

8.1. Revenue Share

Creators earn 95% of each paid MCP call (“Net Earnings”). Cynsta retains a 5% Platform Fee.

Example: A call priced at $0.01 generates $0.0095 in Creator earnings and $0.0005 in Platform Fee.

8.2. Stripe Connect

To receive payouts, Creators must complete Stripe Connect onboarding. Stripe Connect is provided by Stripe Technology Europe Limited, an Electronic Money Institution authorized by the Central Bank of Ireland. By using Stripe Connect, you also agree to Stripe’s Connected Account Agreement.

8.3. Payout Schedule

Earnings are swept and paid out periodically (currently weekly by default, on Mondays at 02:00 UTC). The minimum payout threshold is $25.00 USD. Earnings below this threshold accumulate until the threshold is met.

8.4. Payout Fees

Stripe Connect transfer fees may apply to each payout. At launch, Dock0 absorbs those payout processor fees instead of deducting them from Creator net earnings. We may change this policy in the future with prior notice.

8.5. Tax Responsibility

Creators are solely responsible for reporting and paying all taxes on their earnings. Cynsta does not withhold taxes on Creator earnings unless required by law. Creators are responsible for complying with tax obligations in their jurisdiction.

9. Acceptable Use

9.1. You agree NOT to use the Service to:

  • (a) Violate any applicable law, regulation, or third-party rights
  • (b) Deploy MCP servers that facilitate illegal activities
  • (c) Deploy MCP servers that process, store, or transmit malware or malicious code
  • (d) Attempt to gain unauthorized access to other Users’ accounts, Deployments, or data
  • (e) Interfere with, disrupt, or overload the Service infrastructure
  • (f) Circumvent or manipulate the billing, metering, or rate-limiting systems
  • (g) Resell or redistribute access to the Service without authorization
  • (h) Use the Service to send spam, phishing attempts, or unsolicited communications
  • (i) Deploy content that is defamatory, obscene, or infringes intellectual property rights
  • (j) Use the Service for cryptocurrency mining or similar resource-intensive operations unrelated to MCP

9.2. Creator Responsibilities

Creators are solely responsible for the content, functionality, accuracy, and legality of their Deployments. Cynsta does not review, endorse, or guarantee the quality of any Deployment.

9.3. Enforcement

We may suspend or terminate your account, remove Deployments, or take other action if we reasonably believe you have violated these Terms. We will provide notice where practicable, except in cases requiring immediate action to protect the Service or other Users.

10. Intellectual Property

10.1. Your Content

You retain all rights to the code, data, and content you deploy on the Service. By using the Service, you grant Cynsta a limited, non-exclusive license to host, proxy, and distribute your Deployment solely as necessary to provide the Service.

10.2. Our Content

The Dock0 name, logo, website design, and documentation are the property of Cynsta Technologies s.r.o. You may not use our trademarks without prior written consent.

10.3. Open Source

The Dock0 CLI and certain components may be distributed under open-source licenses. Those licenses govern your use of such components independently of these Terms.

11. Data Protection and Privacy

11.1. We process personal data in accordance with our Privacy Policy, which forms an integral part of these Terms.

11.2. For Users in the European Economic Area (EEA), we comply with Regulation (EU) 2016/679 (GDPR) and Czech Act No. 110/2019 Coll. on Personal Data Processing.

11.3. By using the Service, you acknowledge that certain data may be transferred to and processed in countries outside the EEA (including the United States), subject to appropriate safeguards as described in our Privacy Policy.

12. Right of Withdrawal (EU Consumers)

12.1. Digital Services

Under the EU Consumer Rights Directive (2011/83/EU), consumers in the European Union have the right to withdraw from a distance contract within 14 calendar days without giving any reason.

12.2. Waiver for Immediate Performance

By creating an account and accessing the Service, you expressly consent that performance of the Service begins immediately. You acknowledge that you thereby lose your right of withdrawal once the Service has been fully performed.

For subscription services, if you exercise your right of withdrawal before the end of the first billing period, you will receive a proportional refund for the unused portion.

12.3. Wallet Top-Ups

For Wallet top-ups, the funds are credited to your account immediately upon successful payment. By completing a top-up, you consent to immediate performance and acknowledge the loss of the right of withdrawal for amounts already credited to your Wallet.

12.4. How to Withdraw

To exercise the right of withdrawal, you must inform us of your decision by sending a clear statement to billing@dock0.dev. You may use the model withdrawal form below, but it is not obligatory:

13. Limitation of Liability

13.1. Service “As Is”

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2. Limitation

To the maximum extent permitted by applicable law:

  • (a) Cynsta’s total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the greater of (i) the amounts you paid to Cynsta in the 12 months preceding the claim, or (ii) $100 USD.
  • (b) Cynsta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

13.3. Exceptions

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded under applicable law, including mandatory consumer protection laws.

13.4. Creator Deployments

Cynsta is not liable for the performance, availability, accuracy, or security of any Creator’s Deployment. Consumers use Deployments at their own risk.

14. Indemnification

You agree to indemnify and hold harmless Cynsta, its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your Deployments; (c) your violation of these Terms; (d) your violation of any third-party rights.

15. Modifications to Terms

15.1. We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before they take effect.

15.2. If you do not agree to the modified Terms, you may terminate your account before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

16. Suspension and Termination

16.1. By You

You may close your account at any time through the dashboard or by contacting support@dock0.dev. Upon closure:

  • Active subscriptions will be cancelled at the end of the current billing period
  • Remaining Wallet balance may be refunded per Section 7.5
  • Pending Creator earnings will be paid out per the normal payout schedule
  • Your Deployments will be deactivated

16.2. By Us

We may suspend or terminate your account immediately if:

  • (a) You breach these Terms
  • (b) Your use poses a security risk to the Service or other Users
  • (c) We are required to do so by law
  • (d) Your account has been inactive for more than 12 months

We will provide reasonable notice where practicable, unless immediate action is required.

16.3. Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 10, 13, 14, 17, and 18) will survive.

17. Governing Law and Dispute Resolution

17.1. Governing Law

These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

17.2. Jurisdiction

Any disputes arising from these Terms shall be submitted to the competent courts of the Czech Republic, with the Municipal Court in Prague having jurisdiction for first-instance proceedings.

17.3. EU Consumer ADR

If you are a consumer in the European Union and are dissatisfied with how we handle a complaint, you may use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/. The relevant Czech authority for out-of-court dispute resolution is:

17.4. Business Users

For disputes with business users (B2B), the parties agree to attempt to resolve disputes through good-faith negotiation before initiating legal proceedings. If negotiation fails within 30 days, the dispute shall be submitted to the courts specified in Section 17.2.

18. General Provisions

18.1. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cynsta regarding the Service and supersede all prior agreements.

18.2. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.3. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

18.4. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity.

18.5. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, wars, government actions, power outages, or internet disruptions.

18.6. Language

These Terms are drafted in English. If translated into any other language, the English version shall prevail in case of conflict.
